These Course Instructor Terms and Conditions ("Terms") govern the relationship between us and you, the Course Instructor ("Instructor"), with respect to your provision of educational content and services ("Services") through the K360 platform. By signing up as a Course Instructor on K360, you agree to be bound by these Terms. For all purposes and intent, the interchangeable use of K360 and us shall be construed to mean the owners and administrators of the K360 platform.


Instructor Responsibilities


  1. Content Compliance: As an Instructor, you are responsible for ensuring that your Submitted Content complies with all applicable laws and regulations of Ghana and/or your home state, and K360 user guidelines and policies. This includes but is not limited to copyright laws, intellectual property rights, and content quality standards.

  2. Prohibited Content: You agree not to upload or provide any content that is unlawful, offensive, discriminatory, or infringing upon the rights of others. This includes content that is defamatory, misleading, or harmful in any way. This shall include content for the recruitment and training of terrorists as well as content that educates or incites users to commit crimes, manufacture or distribute devices that are deemed destructive or illegal by national and international laws and regulations.

  3. Quality Assurance: You agree to maintain a high quality standard in your instructional materials and services. This includes providing accurate and up-to-date information, engaging instructional delivery, and responsive communication with users and the K360 team.


Trust and Safety


  1. Compliance with Policies: You agree to abide by all Trust and Safety policies, content guidelines, and community standards established by K360. Failure to comply may result in content removal, account suspension, or other disciplinary actions including legal ones.

  2. Content Review: K360 reserves the right to review, remove, or restrict access to any content that violates these Terms or poses a risk to the integrity or reputation of the platform. This includes but is not limited to fraudulent activities, deceptive practices, or inappropriate conduct/content.

  3. Student Privacy: You agree to protect the privacy and confidentiality of student data and information obtained through the platform. You shall not disclose or use such data for any purpose other than providing your Services as an Instructor on K360.

  4. Anti-harassment: We frown at all forms of harassment in all our forums and spaces and instructors are required to take steps to ensure that learners in their courses and the platform are protected from any form of harassment. By agreeing to be a course instructor on K360, you are automatically bound by our anti-harassment policy and any other such policies designed to guarantee the safety of learners and other platform users.


Pricing and Payments


  1. Pricing Structure: Instructors may set prices for their courses and instructional materials in accordance with K360's pricing guidelines. Prices should be fair, competitive, and reflective of the value provided to students. Pricing must be in line with our mission of democratizing education in Africa. In line with that, we reserve the right to run discounts or modify prices to reflect our promotional objectives and corporate responsibility.

  2. Revenue Sharing: Instructors receive a share of the revenue generated from the sale of their content on the platform. The revenue share percentage and payment terms are specified in the Instructor Agreement and may be subject to change with notice.

  3. Payment Processing: Payments to Instructors are processed through the platform's designated payment gateways and are subject to transaction fees, currency conversion charges, and applicable taxes. Instructors are responsible for providing accurate payment information and ensuring compliance with tax laws and regulations.


Termination and Account Closure


  1. Termination: K360 reserves the right to terminate or suspend your account and access to the platform at any time, with or without cause, at our sole discretion. Reasons for termination may include but are not limited to violations of these Terms, fraudulent activities, or non-compliance with platform policies.

  2. Account Closure: You may request the closure of your Instructor account at any time by contacting K360 support. Upon account closure, any outstanding payments will be settled according to the payment schedule, and your access to the platform will be revoked.

  3. Post-Termination Content Access: In the event that your Instructor account is closed for whatever reason, content that is deemed appropriate and accessible to learners shall remain accessible to them. This applies regardless of whether the learner has free or paid access to the content. You can request in writing for your content to be restricted to new learners who did not have access to the content one week after your restriction request is submitted. K360 has the right to restrict access to the content at all times even without your request if we determine that such restriction is necessary for the platform's integrity or to protect learners and the public.


Content Ownership and License


  1. Ownership: You retain ownership of all content you upload or provide to the K360 platform, including but not limited to lectures, quizzes, assignments, resources, and announcements ("Submitted Content").

  2. License to K360: By uploading Submitted Content, you grant K360 a limited license to host, display, distribute and run analytics on your content solely for the purpose of operating and promoting the platform. This license is non-exclusive, worldwide, and royalty-free.

  3. Modifications: K360 may make necessary modifications to your Submitted Content to ensure platform compatibility, accessibility, or performance. Any such modifications will be reasonable and consistent with the intended purpose of the content.

  4. Use of Instructor Name and Image: You grant K360 permission to use your name, likeness, and image in connection with the promotion, marketing, and operation of the Services. This includes but is not limited to advertising materials, website content, and social media posts.


Miscellaneous


  1. Updates to Terms: K360 may update these Terms from time to time to reflect changes in platform policies, legal requirements, or business practices. Instructors will be notified of any material changes, and continued use of the platform constitutes acceptance of the revised Terms.

  2. Governing Law: These Terms shall be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms shall be resolved through arbitration. Both parties shall appoint a trusted independent arbitrator and be agreed upon in writing by both parties.

  3. Entire Agreement: These Terms constitute the entire agreement between you and us with respect to your role as a Course Instructor on the K360 platform and supersede all prior agreements and understandings, whether written or oral.


By signing up as an Instructor with K360, you acknowledge that you have read, understood, and agree to be bound by these Terms.
